Terms of Service

The plain-English terms for using SimpleTrustCenter to publish legal documents and collect customer DPA signatures, including the trial and acceptable use.

Last updated 21 October 2026

The short version

  • SimpleTrustCenter lets your company publish versioned legal documents in branded trust centers and have your customers sign DPAs.
  • An account belongs to one company. You are responsible for everything published and every agreement requested from it, including uploads by members and API keys.
  • Nothing is published until a person approves it. API keys can submit drafts but can never approve or publish.
  • Sign-up starts a free 30-day trial. If the trial or a paid plan ends without renewal, trust centers go offline after 7 days and the account and its data are deleted on day 37.
  • You own your documents and data. We do not give legal advice, and the platform seal on signed PDFs is not a personal signature certificate.
  • Either of us can end this agreement at any time.

1. Agreement and who we are

These terms are an agreement between you and Alexander Duggleby, a sole proprietor trading as SimpleSoftware365 ("we", "us"), of Marxergasse 24/2, 1030 Vienna, Austria. They cover your use of SimpleTrustCenter, including the website, the web app, the trust centers it hosts and the API (together, "the service").

By signing in or using the service you agree to these terms. If you are using the service for an organisation, you confirm that you can bind it, and "you" includes that organisation. If you do not agree, please do not use the service.

These terms take effect on 21 October 2026.

2. Accounts

You sign in with a magic link sent to your email address. We do not set or store a password for you. An account belongs to one company. "You" means the account holder: the company, acting through its owner. If you are an individual signing up for your company, you sign up on its behalf.

Company owners can invite administrators and assign them to trust centers, and can issue API keys. You are responsible for your members, for the API keys and integrations they use, and for everything that happens under your SimpleTrustCenter account. An API key acts with the access it is given. Treat what it does through the service as something you did. Keep your email accounts and API keys secure, and tell us promptly if you think your account has been used without your permission.

You must give accurate information and be old enough to enter a binding contract where you live.

3. The service

SimpleTrustCenter lets you run one or more trust centers, one for each product or service. In a trust center you publish versions of legal documents, such as privacy policies, terms and DPAs, which anyone can read, compare and download without signing in. Visitors can subscribe to document updates. Your customers' legal administrators can start DPA signing workflows, choose a signer, and keep their signed agreements in their own workspace. Each signed agreement is finalised as a PDF with a platform certificate seal and a trusted timestamp.

Each trust center has a service-hosted address. You may add a custom domain only if you own or control it.

Document conversion and text comparison are automated. Converted pages and comparisons are a guide, and the uploaded original remains the authoritative version. If text cannot be extracted from a document, the comparison says so and is not proof that nothing changed.

We may add, change or remove features, and we may set or change limits such as file sizes, to keep the service reliable and safe. If we make a change that materially reduces what the service does for you, we will tell you.

4. Review, publication and API keys

Nothing is published until an authorised person in your account approves it. API keys can submit drafts but can never approve or publish them. A person can approve their own submissions only if you allow that for the trust center.

You are responsible for every document published and every signing workflow started under your account, whichever member or API key submits it. That includes the content of your DPA templates, the fields you ask customers to complete, the effective dates and deadlines you set, and whether you require customers to re-sign. We run validation and keep a history of every version, but these are safeguards, not a promise that a document is correct, lawful or appropriate. Review what you approve.

5. Electronic signatures

A signer accepts an agreement electronically after verifying their email address, reviewing the completed agreement and confirming their authority to bind their organisation. We record the evidence of that acceptance and seal the final PDF with our platform certificate and a trusted timestamp. The seal shows that the PDF has not changed since it was finalised. It is not the signer's personal or qualified signature certificate.

Whether an agreement is valid and enforceable depends on its content and on the law that applies to it. That is between you and your customer. We do not decide whether an agreement is valid, and we do not end your customers' access to your own products.

6. Acceptable use

The service is for publishing your own legal documents and managing agreements with your own customers. When you use it, you agree that you will:

  • only publish documents that you have the right to publish, under a company name and branding that you are entitled to use;
  • comply with the laws that apply to you, your customers and your documents, including data protection laws such as the GDPR and UK GDPR;
  • have a lawful basis for the personal data you or your customers enter into the service, and for inviting people to sign or subscribe;
  • send update notifications only about your published documents, and not use the service for marketing or unsolicited mail;
  • not upload or publish content that is illegal, deceptive, misleading about who you are, or harmful, including phishing, malware and fraud;
  • not try to get around plan limits, validation, approval rules or other safeguards; and
  • only add custom domains that you own or control.

If you are unsure whether something is allowed, ask us before you do it.

7. Your content and data

You own your content, including your documents, templates, customer records and signed agreements. You give us a limited licence to host, convert, process, publish and deliver that content, only so we can provide the service to you. Documents you publish in a trust center are public.

We handle personal data as described in our Privacy Policy. You are responsible for having the right to give us the personal data you enter, and for telling your customers, signers and subscribers how you use it.

8. Third-party services

The service depends on third-party services, such as hosting, email delivery and timestamping providers. Their availability, filtering and policy decisions are outside our control. A recipient's mail provider may delay, filter or block notification emails, and we are not responsible for that.

9. Trial and fees

Free trial

Signing up starts a free 30-day trial with all features and room for 100 current signed DPAs. If you have not chosen a plan by the end of the trial, the end-of-service steps in section 10 apply.

Fees

When you choose a paid plan, it is active straight away and we send you an invoice. The fees are the ones shown when you choose the plan. Fees exclude taxes, which you are responsible for unless we say otherwise. If we change our prices or plans, we will give you notice before the change applies to you, and you can cancel before it does.

10. Suspension and termination

You can stop using the service and close your account at any time. We can end this agreement by giving you notice.

We may suspend or limit your access straight away if you break these terms, or if we reasonably believe your use puts the service, your customers or other users at risk. We may also suspend an account whose invoices are unpaid. Where we reasonably can, we will tell you why and give you a chance to fix the problem.

When a trial or paid plan ends without renewal, your trust centers stay online for a 7-day grace period with a notice showing the offline date. They then go offline for 30 days, during which you can still sign in, choose a plan to restore the service, and download your signed agreements. On day 23 we send download links for archives of the signed agreements to your company owners, and to each customer's legal administrators for their own agreements. On day 37 we delete your account data, except where the law requires us to keep it. The archives are kept in your home region for one year after that and are then deleted. The Privacy Policy has the retention details. Sections that by their nature should continue to apply, such as 11 to 13 and 15, will continue after the agreement ends.

11. Disclaimers

The service is provided "as is" and "as available". To the fullest extent the law allows, we do not make any warranties, express or implied, including about fitness for a particular purpose, accuracy, uninterrupted or error-free operation, or that your notifications will be delivered or read. We do not give legal advice, and using the service does not make your documents or agreements compliant or enforceable.

Nothing in these terms limits any rights you have under the law that cannot be limited.

12. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, goodwill or data, even if we were told they were possible.

Our total liability to you for all claims relating to the service is limited to the fees you paid us in the 12 months before the event that gave rise to the claim.

Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence.

13. Indemnity

You will defend and compensate us against claims, losses and costs (including reasonable legal fees) that arise from your content, from documents published or agreements requested under your account, or from your breach of these terms or violation of the law. We will tell you promptly about any claim and let you take part in dealing with it.

14. Changes to these terms

We may update these terms. If a change is material, we will give you notice, by email or in the app, at least 30 days before it takes effect. If you keep using the service after that date, you accept the new terms. If you do not, you can close your account before then.

15. Governing law

These terms are governed by the laws of Austria, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. Any dispute will be handled by the courts of Vienna, Austria, unless the law where you live gives you the right to bring a claim somewhere else.
